Suven Pharma will shell out $49.4 million to buy out the existing minority shareholders of the Princeton-based company and will make a primary equity infusion of $15 million. The transaction is expected to close before the end of December 2024, with Suven having an option to acquire the remaining stake in the company after five years. The Hyderabad-based company said the acquisition of the premier ADC/XDC (antibody drug conjugates and X-drug conjugates)-focused company will create one of the few CRDMOs (contract research, development and manufacturing organisations) with a US and India footprint and presence across major new modalities like ADC, Nucleic Acid Chemistry, and mRNA. This will enhance Suven's standing as a technology-driven CRDMO offering end-to-end ADC/XDC solutions and position it as a key player in the ADC outsourcing market, which is valued at $2.7 billion and projected to grow at over 25% annually. Suven Pharma said the deal extends its current ADC offering with expertise across payload chemistry, payload-linker synthesis, bioconjugation, and ADC-specific analytical platforms and will also establish its R&D manufacturing base in the strategic US market. As part of the deal, NJ Bio founder and CEO Dr Naresh Jain, a renowned ADC scientist, will continue as CEO and retain his stake in the company. Suven Pharma Executive Chairman Vivek Sharma said NJ Bio's capabilities and established customer relationships will accelerate Suven's journey as a global leader in the fast-growing ADC/XDC segment, which is emerging as a very important modality and has improved the lives of well over 100,000 patients. (AP) — If last month’s election wasn’t painful enough for Florida Democrats, they’re losing another state House seat after one of their members announced Monday that she’s switching parties. State Rep. Susan Valdés, a former school board member who was reelected as a Democrat last month, said on X that she is “tired of being the party of protesting.” Valdés ran to be chairperson for her local county’s Democratic executive committee earlier this month. She won her current term by nearly 5 percentage points but can’t run for reelection again because of term limits. Republicans have controlled the governor’s office and both branches of the Legislature since 1999. Valdés is serving her final two years before leaving office due to term limits. Republicans now have an 86-34 majority in the House. “I got into politics to be part of the party of progress,” Valdés wrote. “I know that I won’t agree with my fellow Republican House members on every issue, but I know that in their caucus, I will be welcomed and treated with respect.” House Speaker Daniel Perez reposted Valdés’ statement and welcomed her into the House, where Republicans have a supermajority of 86-34. House Democratic Leader Fentrice Driskell said she was surprised and disappointed by Valdés’ announcement. “It is sad that she has elevated her own aspirations above the needs of her district,” Driskell wrote in a statement on X.

Continued tensions within the Thornton Township Board led to the cancellation of two meetings with almost identical agendas this month due to a lack of quorum. Trustees Christopher Gonzalez and Carmen Carlisle, who have become sharp critics of Henyard’s administration in the years since her 2021 appointment, have raised concerns in about receiving little to no information about proposals up for vote, such as a “100% tax refund for all homeowners” and bonuses for all township employees. They released joint statements ahead of a Nov. 19 scheduled meeting and a special meeting Henyard called for Monday to explain their absences. “Unfortunately, this meeting’s agenda has not been properly vetted and includes items that are likely to provoke unnecessary conflict rather than create solutions,” the statement read. Gonzalez said last week the lack of information forces Carlisle and him to essentially vote blind on issues that could have a meaningful impact on residents’ lives. “The best analogy I’ve come up with is that it’s like a shell game, which is obviously not how things are supposed to be,” Gonzalez said. But a major stumbling block may be Henyard’s desire to appoint a new trustee, potentially taking away her opponents’ voting power ahead of the April 2025 election. Recent meeting agendas have included voting on Henyards pick to replace Gerald Jones, who resigned last month. “I would assume because she’s pushing it forward that she could get (the votes) either way — that’s why she’s so desperate to get this meeting going,” Gonzalez said Nov. 19. “We just want to get someone in there who’s neutral.” Because the board is one member short, votes have often been Gonzalez and Carlisle versus Henyard and Trustee Darlene Gray Everett. Gonzalez said when appointing a trustee, Township Clerk Loretta Wells will have a vote and could decide the outcome. Gonzalez said he instead hopes to wait and allow the decision to be up to residents, who will be given the opportunity to directly vote for a trustee at a town hall meeting if the doesn’t make an appointment by Dec. 7. “Either way, that’s going to change everything,” Gonzalez said. “Either (Henyard is) going to get everything she wants or we’re going to have someone who’s more objective and is going to look at these things a little more realistically.” Gonzalez later said if the new trustee votes against Henyard’s proposals, it will allow the board to focus on paying bills and keeping important township services going until the spring election, during which all trustees seats, the clerk and supervisor will be on the ballot.
