By Jaspreet Singh and Rishi Kant (Reuters) - OpenAI on Friday laid out a plan to transition its for-profit arm into a Delaware public benefit corporation (PBC) to help it raise capital and stay ahead in the costly AI race against companies such as Google. OpenAI's new structure aims to potentially make a more investor-friendly corporation, while maintaining a mission of funding a related charity. Rivals including Anthropic have also adopted the PBC structure to balance societal interests along with shareholder value. WHAT IS A PUBLIC BENEFIT CORPORATION? While both PBCs and traditional corporations are for-profit entities, PBCs are legally required to pursue one or more public benefits, including social and environmental goals. Delaware amended its general corporation law to allow the formation of PBCs in 2013 and as of December 2023, there were 19 publicly traded PBCs, according to research by Jens Dammann of the University of Texas. In its blog, OpenAI described the current structure as "a for-profit, controlled by the non-profit, with a capped profit share for investors and employees". Under the new organization, the non-profit will own shares in the for-profit, similar to outside investors, and the for-profit will fund the charitable mission of the non-profit. "The PBC will run and control OpenAI's operations and business, while the non-profit will hire a leadership team and staff to pursue charitable initiatives in sectors such as healthcare, education, and science," it said. DIFFERENCE BETWEEN A PBC AND OTHER CORPORATE STRUCTURES Unlike PBCs, non-profit corporations do not have shareholders and reinvest profits into their mission rather than distributing them to individuals. PBCs do not receive special tax exemptions or incentives, while non-profits are generally exempted from federal income taxes if they meet certain requirements. LIMITATIONS OF PBCs Becoming a benefit corporation does not guarantee a company will put its stated mission above profit, as the law only legally requires the board to "balance" its mission and profit-making interests, said Ann Lipton, a corporate law professor at Tulane Law School. Delaware law does require the company to report on its progress towards the goals to shareholders, who, in practice, dictate how closely a PBC sticks to its mission, Lipton said. "The only reason to choose benefit form over any other corporate form is the declaration to the public. It doesn't actually have any real enforcement power behind it," Lipton added. Some legal experts also say that publicly traded PBCs are more susceptible to takeovers, as bidders can argue the company lacks profit maximization or that its public benefit goals conflict with the bidder's objectives. The train left Newcastle at 8.21am on Tuesday - about five years after the first sets were originally due to enter service in NSW. The Korean-built trains were too wide to fit through some tunnels, too long for some platforms and faced opposition from the Rail, Tram and Bus Union due to plans for drivers to monitor platforms using CCTV, reducing staffing requirements. An agreement was eventually reached with the union after a long dispute with the former coalition government and modifications were made locally beginning in August 2023. Transport Minister Jo Haylen said it should not have taken so long for the trains to enter service, but they were finally taking passengers along the Newcastle and Central Coast lines. Passengers along the Blue Mountains, Illawarra and South Coast lines will have to wait a while longer, but Ms Haylen said it would be worth it. "These state-of-the-art trains will make travel between Sydney and our regional cities safer and more comfortable," she said. The trains are due to replace rolling stock that entered service almost five decades earlier. Early renders of the trains featured "NSW TrainLink" branding, which is being abolished as its operations merge with Sydney Trains. Sydney Trains chief executive Matt Longland said getting the trains on the tracks was an incredibly complex project. "But we are pleased we have been able to work with the unions to locally modify these trains and get them into service," he said. "The Mariyung trains are quieter and roomier and will provide our passengers with a much improved and more comfortable travelling experience for decades to come." (AP) — Donald Trump assigned Doug Burgum a singular mission in nominating the governor of oil-rich North Dakota to lead an agency that oversees a half-billion acres of federal land and vast areas offshore: “Drill baby drill.” That dictate from the president-elect’s announcement of Burgum for Secretary of Interior sets the stage for a reignition of the court battles over public lands and waters that helped define Trump’s first term, with environmentalists worried about climate change already pledging their opposition. Burgum is an ultra-wealthy software industry entrepreneur who grew up on his family’s farm. He represents a tame choice compared to other Trump Cabinet picks. Public lands experts said his experience as a popular two-term governor who aligns himself with conservationist Teddy Roosevelt suggests a willingness to collaborate, as opposed to dismantling from within the agency he is tasked with leading. That could help smooth his confirmation and clear the way for the incoming administration to move quickly to open more public lands to development and commercial use. “Burgum strikes me as a credible nominee who could do a credible job as Interior secretary,” said John Leshy, who served as Interior’s solicitor under former President Bill Clinton. “He’s not a right-wing radical on public lands,” added Leshy, professor emeritus at the University of California College of the Law, San Francisco. The Interior Department manages about one-fifth of the country’s land with a mandate that spans from wildlife conservation and recreation to natural resource extraction and fulfilling treaty obligations with Native American tribes. Most of those lands are in the West, where frictions with private landowners and state officials are commonplace and have sometimes mushroomed into violent confrontations with right-wing groups that reject federal jurisdiction. Burgum if confirmed would be faced with a pending U.S. Supreme Court action from Utah that seeks to assert state power over Interior Department lands. North Dakota’s attorney general has supported the lawsuit, but Burgum’s office declined to say if he backs Utah’s claims. U.S. Justice Department attorneys on Thursday asked the Supreme Court to reject Utah’s lawsuit. They said Utah in 1894 agreed to give up its right to the lands at issue when it became a state. Trump’s narrow focus on fossil fuels is a replay from his 2016 campaign — although minus coal mining, a collapsing industry that he failed to revive in his first term. Trump repeatedly hailed oil as “liquid gold” on the campaign trail this year and largely omitted any mention of coal. About 26% of U.S. oil comes from federal lands and offshore waters overseen by Interior. Production continues to hit record levels under President Joe Biden despite claims by Trump that the Democrat hindered drilling. But industry representatives and their Republican allies say volumes could be further boosted. They want Burgum and the Interior Department to ramp up oil and gas sales from federal lands, in the Gulf of Mexico and offshore Alaska. The oil industry also hopes Trump’s government efficiency initiative led by billionaire Elon Musk can dramatically reduce environmental reviews. Biden’s administration reduced the frequency and size of lease sales, and it restored environmental rules that were weakened under Trump . The Democrat as a candidate in 2020 promised further restrictions on drilling to help combat global warming, but he struck a deal for the 2022 climate bill that requires offshore oil and gas sales to be held before renewable energy leases can be sold. “Oil and gas brings billions of dollars of revenue in, but you don’t get that if you don’t have leasing,” said Erik Milito with the National Ocean Industries Association, which represents offshore industries including oil and wind. Trump has vowed to kill offshore wind energy projects. But Milito said he was hopeful that with Burgum in place it would be “green lights ahead for everything, not just oil and gas.” It is unclear if Burgum would revive some of the most controversial steps taken at the agency during Trump’s first term, including relocating senior officials out of Washington, D.C., dismantling parts of the Endangered Species Act and shrinking the size of two national monuments in Utah designated by former President Barack Obama. Officials under Biden spent much of the past four years reversing Trump’s moves. They restored the Utah monuments and rescinded numerous Trump regulations. Onshore oil and gas lease sales plummeted — from more than a million acres sold annually under Trump and other previous administrations, to just 91,712 acres (37,115 hectares) sold last year — while many wind and solar projects advanced. Developing energy leases takes years, and oil companies control millions of acres that remain untapped. Biden’s administration also elevated the importance of conservation in public lands decisions, adopting a rule putting it more on par with oil and gas development. They proposed withdrawing parcels of land in six states from potential future mining to protect a struggling bird species, the greater sage grouse. North Dakota is among Republican states that challenged the Biden administration’s public lands rule. The states said in a June lawsuit that officials acting to prevent climate change have turned laws meant to facilitate development into policies that obstruct drilling, livestock grazing and other uses. Oil production boomed over the past two decades in North Dakota thanks in large part to better drilling techniques. Burgum has been an industry champion and last year signed a repeal of the state’s oil tax trigger — a price-based tax hike industry leaders supported removing. Burgum’s office declined an interview request. In a statement after his nomination, Burgum echoed Trump’s call for U.S. “energy dominance” in the global market. Badlands Conservation Alliance director Shannon Straight in Bismarck, North Dakota, said Burgum has also been a big supporter of tourism in North Dakota and outdoor activities such as hunting and fishing. Yet Straight said that hasn’t translated into additional protections for land in the state. “Theodore Roosevelt had a conservation ethic, and we talk and hold that up as a beautiful standard to live by,” he said. “We haven’t seen it as much on the ground. ... NoneGreg Gumbel, a longtime CBS sportscaster, has died from cancer, according to a statement from family released by CBS on Friday. He was 78. Related video above: Remembering those we've lost in 2024 “He leaves behind a legacy of love, inspiration and dedication to over 50 extraordinary years in the sports broadcast industry; and his iconic voice will never be forgotten,” his wife Marcy Gumbel and daughter Michelle Gumbel said in a statement. In March, Gumbel missed his first NCAA Tournament since 1997 due to what he said at the time were family health issues. Gumbel was the studio host for CBS since returning to the network from NBC in 1998. Gumbel signed an extension with CBS last year that allowed him to continue hosting college basketball while stepping back from NFL announcing duties. In 2001, he announced Super Bowl XXXV for CBS, becoming the first Black announcer in the U.S. to call play-by-play of a major sports championship. David Berson, president and CEO of CBS Sports, described Greg Gumbel as breaking barriers and setting standards for others during his years as a voice for fans in sports, including in the NFL and March Madness. “A tremendous broadcaster and gifted storyteller, Greg led one of the most remarkable and groundbreaking sports broadcasting careers of all time," said Berson. LINCOLN — Three things we learned and three things we still don't know about the Huskers coming out of Nebraska's win over Wisconsin. * * * 1. The Huskers are headed back to a bowl game for the first time since 2016. Shall we reacquaint you with the most likely options? There’s the Dec. 26 Guaranteed Rate Bowl in Phoenix vs. a Big 12 team, the Dec. 26 Quick Lane Bowl in Detroit vs. the MAC champion, the Dec. 28 Pinstripe Bowl vs. an ACC team or, if NU managed to upset Iowa, the Dec. 30 Music City Bowl in Nashville vs. a SEC team. 2. Nebraska finally turned the first carries over to the best running back — Emmett Johnson. And the sophomore from Minneapolis delivered with three carries for 22 yards and a catch on NU’s opening drive. While Johnson may have options in the transfer portal, the Huskers should make NIL and revenue-sharing efforts to keep him. Johnson seems to fit the Dana Holgorsen system. 3. Even the best special teams units make mistakes. Wisconsin is ranked in ESPN’s top 20 of special teams units, but the Badgers allowed both a 45-yard kickoff return to start the game and, later, missed a 34-yard field goal after a delay-of-game penalty. Wisconsin also hammered a kickoff out of bounds, too. Uncharacteristic errors. 1. How quickly Nebraska can lock up Dana Holgorsen as the full-time, long-haul offensive coordinator. For NU’s first half alone, when the Huskers knocked out drives of 55, 80 and 76 yards for touchdowns, Holgorsen deserves a little extra. NU quarterback Dylan Raiola looked awfully sleek, too, completing 17 of 22 passes in the first half. The Jahmal Banks the Huskers hoped to get all season may have disappeared for a bit, but he returned Saturday with clutch third down catches and good blocks. Holgo lit a fire in that offense. 2. Whether the Huskers’ defense can handle the Hawkeye run game on a short week. NU has generally struggled to do so, and this is Iowa’s best rush attack in years. Wisconsin wanted to pound the ball at the Huskers with a diet of power plays, but had only intermittent success and a costly end-of-first-half fumble. Nebraska’s secondary is beat up and a little discombobulated, but Iowa’s starting quarterback, Jackson Stratton, may not be up for that task. 3. How many of those non-senior seniors who walked on Senior Day plan to return. Alongside super seniors like Ty Robinson and Isaac Gifford — those guys are done — you saw players like Stefon Thompson, Elijah Jeudy and Nate Boerkircher making the Senior Day walk, as well. Javin Wright did not walk because he’ll consider applying for a seventh year with a medical redshirt.

For the third straight season, the College of the Redwoods football team will host the Grizzly Bowl at the Redwood Bowl on Friday night against the 6-4 Coalinga College Falcons. The Corsairs will head into the bowl game after losing two of the last three regular season games, but they also went up against the No. 1 and No. 2 teams in the American Pacific 7 conference, falling to undefeated De Anza and 7-3 College of the Siskiyous. CR will enter Friday’s game at 7-3 with newly announced league Defensive Most Valuable Player Conner Long, who was one of 11 Corsairs named to the American Pacific 7 All-Conference team. They’ll need all the help they can get on defense, facing a Falcons offense that’s averaging 43.1 points per game on the season. Friday will be the first time this season Coalinga and College of the Redwoods will face off, but the two schools did face each other last season in Humboldt where the Falcons left with a 27-21 win. The matchup was a narrow win for Coalinga, with the game being tied at 21-21 with less than five minutes to play before the Falcons connected for a game-winning 30-yard touchdown pass. With a season gone by, both teams will be looking different now than how they appeared in last year’s matchup, with each school having a new quarterback for the 2024 season. The Falcons have turned the keys over to sophomore Logan Johnson while the Corsairs have started freshman Bryton Livingston all season. Both quarterbacks have enjoyed success, with Johnson throwing 31 touchdowns to just nine interceptions and racking up 2,820 passing yards. Livingston’s numbers are less daunting, with 17 passing touchdowns, eight picks and 1,963 passing yards but he’s done that on 94 fewer passing attempts. Falcons sophomore wide receiver Porter Needs has been Johnson’s favorite target, totaling 51 catches, 12 of which were touchdowns, and 756 yards on the season. Coalinga has a pair of game-breaking sophomore defensive ends on the other side of the ball, with Derrick Taylor and Terrell Eackles. They’ve combined for 22 tackles for losses and seven sacks on the season. The Corsairs don’t lack firepower by any means, with redshirt freshman running back Isaiah Hemmings racking up 920 rushing yards and 12 touchdowns on the ground, while adding another 257 yards and two touchdowns through the air. Hemmings was named All-Conference as was two Corsair receivers, Jaydan Burns and all-purpose player Glen “Phat” Williams Jr. The two receivers combined for 838 receiving yards and eight receiving touchdowns. Despite the two teams having not played each other, they’ve played nine of the same opponents, with CR going 6-3 against common opponents while Coalinga went 5-4. Both teams lost to College of the Siskiyous, De Anza and Monterey Peninsula while the Falcons lost to San Jose 50-48 while the Corsairs defeated them 30-21. With CR hosting the Grizzly Bowl for the third straight season, the Corsairs hope to give themselves a winning record in the bowl game. Last year, the Corsairs demolished Hartnell College 63-0 but in 2022 CR fell to Monterey Peninsula 42-21. In the three years under Jason White since CR football returned in 2022, the Corsairs have been a Grizzly Bowl staple with a chance on Friday to clinch two bowl wins in three years since resuming the program. NEW YORK (AP) — Edmonton Oilers forward Jeff Skinner during a recent game against the New York Rangers, the NHL said Monday. Skinner was issued a warning after a diving/embellishment incident in against the Carolina Hurricanes, the league said. His second citation, which triggered the fine, came in the second period of on Nov. 23. Skinner was being followed by Rangers defenseman K’Andre Miller as he had the puck along the boards in the New York zone. Skinner lost his footing and the puck despite minimal contact from Miller.
